By accessing or using Oeta's fleet management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to fleet managers, drivers, employees, and administrators.

Oeta provides AI-powered fleet management software that includes:

• Vehicle tracking and management
• Employee attendance and payroll management
• AI-powered trip scanning and OCR technology
• Fuel management and monitoring
• Maintenance scheduling and tracking
• Report generation and analytics
• Mobile applications for field operations
• Integration capabilities with third-party systems

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4.1 Pricing

• Vehicle-based pricing: Pay per vehicle per month
• Starter Plan: ₹299 per vehicle per month
• Professional Plan: ₹349 per vehicle per month
• Enterprise Plan: Custom pricing based on requirements
• 10% discount available for annual subscriptions

4.2 Free Trial

• 60-day free trial with full feature access
• No credit card required for trial signup
• Automatic conversion to paid subscription requires explicit consent

4.3 Payment Terms

• Monthly subscriptions billed in advance
• Accepted payment methods: UPI, credit/debit cards, net banking, bank transfers
• Late payment may result in service suspension
• Price changes with 30-day advance notice

• Cancel your subscription anytime without penalties
• Service continues until the end of the current billing period
• Pro-rata refunds for annual subscriptions cancelled within 30 days
• No refunds for monthly subscriptions or partial usage
• Data export available for 30 days after cancellation

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Upload malicious content or attempt to hack the system
• Share account credentials with unauthorized parties
• Reverse engineer or attempt to extract source code
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Collect user information without proper consent

7.1 Your Data

• You retain ownership of all data you input into the Service
• You grant us license to process your data for service delivery
• Data export available in standard formats
• Data deletion upon request (subject to legal requirements)

7.2 Employee Data

• You are responsible for obtaining proper employee consent
• Location tracking only during authorized work hours
• Biometric data processed locally on devices
• Compliance with local labor and privacy laws

The Service and its original content, features, and functionality are owned by Oeta Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

• Oeta retains all rights to the software platform and technology
• Users receive a limited license to use the Service
• No rights to copy, modify, or distribute our software
• Respect for third-party intellectual property rights

• We strive for 99.9% uptime but do not guarantee continuous availability
• Planned maintenance with advance notice
• 24/7 support for Professional and Enterprise plans
• Business hours support for Starter plan
• Response time: 24 hours for support requests

To the maximum extent permitted by applicable law, Oeta Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless Oeta Technologies from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use and access of the Service
• Your violation of any term of these Terms
• Your violation of any third-party right
• Any claim that your use caused damage to a third party

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
